PAYMENTPROGRAM E: Paid Placement Agreement1. This agreement is made between the undersigned client (hereinafter “client”) and Worldwide Exchange Experts (hereinafter “Worldwide”). Worldwide enters this Agreement when it confirms the placement fields requested by client (minimum of 2) and when it receives and processes the initial fees called for in this agreement. Client agrees to fully cooperate with Worldwide’s instructions. 2. This client hereby hires Worldwide to provide “Placement Services” as defined within this Agreement. 3. Client agrees to pay Worldwide according to the "Fee Schedule and Refund Policy" defined within this Agreement. 4 The client hereby acknowledges and authorizes Worldwide, at Worldwide’s sole discretion, to have anyone else, either affiliated, associated, or otherwise, provide any of the placement services to be rendered to client, including but not limited to services related to visa sponsorship, services related to providing required insurance, creation of necessary documents, and locating the placement. 5. The client hereby agrees and acknowledges that Worldwide does not and cannot make any promise or guarantee of a particular result. Client acknowledges that though a client may start a placement for an intended duration, the provider/employer of the placement can act independently to terminate the internship and Worldwide will not be held liable in anyway. 6. Fee Schedule and Refund Policy. For positions of 9 to 18 months, Client agrees to initially pay Worldwide a nonrefundable registration fee of $495 and a Placement Search Fee of $495 to identify a satisfactory placement in either of the 2 fields identified by client (minimum of 2 confirmed by Worldwide). If no satisfactory internship, as defined in this Agreement, is secured within 12 weeks, client will have the right to demand in writing a refund of the $495 Placement Search Fee. If anyone identified by Worldwide offers a "Satisfactory Placement," client will be responsible for paying the Program E Fee of $2600. After the Program E Fee has been paid, if the candidate cannot be placed in the position through no fault of their own, the client may demand in writing a refund of $2000 of the Program E Fee. There will be no refund if the process is completed and the client fails the final interview at the U.S. Consulate/Embassy in their country. 7. Client acknowledges and agrees that if client attempts to accept, secure, or otherwise commence any placement with anyone identified by Worldwide without paying Worldwide all fees in advance, that client will be eroding Worldwide's goodwill and relations with United States based employers and placement providers', and as a consequence, do great harm to Worldwide. As such, should client attempt to accept, secure or commence placement with anyone identified by Worldwide without paying Worldwide all fees in advance and securing approval by Worldwide, Worldwide will be entitled to all fees due, attorneys fees, and costs incurred collecting or otherwise enforcing this agreement. Worldwide expressly reserves all rights to assert any other claims whatsoever including fraud and misrepresentation. Further, Worldwide reserves the right to assign its rights in this contract to anyone including a collections agency. 8. This contract is governed by the laws of the State of California. The parties expressly agree that the contract is entered in the County of Los Angeles, California and forum for any action related to this agreement is designated exclusively to California. In the event Worldwide should be required to seek collection or enforcement of this agreement in any respect, Worldwide will be entitled to all attoney's fees, costs, and expenses. 9. If any portion of this agreement is deemed void, voidable, or unenforceable, it shall be severed and the remaining portions of the Agreement shall remain valid and enforceable. 10. A "Satisfactory Placement" shall be defined as any position in the client’s chosen fields (minimum of 2 designated by client and must be confirmed by Worldwide), that is within the United States, of an intended duration of between 9 and 18 months, and that is paid a minimum of $1200 a month in value. 11. For purposes of this Agreement, placement, training position, and internship shall mean the same thing. 12. "Placement Services" shall be defined as: i) identifying and securing an offer for the client of a Satisfactory Placement; ii) assisting, gathering, and preparing the documentation to acquire the J Visa if necessary; iii) identifying necessary insurers and agencies required for the program visa as well as well as the required health insurance; iv) assistance in preparing for the embassy/consulate interview if necessary. Placement Services does not include anything else not expressly listed above including the following: i) transportation, including transport to and from the United States, and any transportation during the program other than airport pickup upon arrival, if necessary and appropriate; ii) cost of airline tickets, iii) cost of local housing, including a security deposit for housing that is usually equal to one month’s rent, iv) meals; and v) all other expenses the client incurs while participating in this program.
